Free zone vs mainland: which UAE company setup is right for you?

Choosing between a free zone and a mainland company is the first big decision when you set up in the UAE. Both let foreign founders own their business — the difference is where you can trade, what office you need and how you grow.
The short answer
- Choose a free zone if you mainly sell online, internationally or to other businesses, want a fast and low-cost start, and don't need a shop front.
- Choose mainland if you want to sell directly to customers anywhere in the UAE, open a shop, restaurant or showroom, or bid for government contracts.
Ownership
Since 2021 most mainland activities allow 100% foreign ownership, so the old rule that a UAE national had to hold 51% no longer applies to most businesses. A small number of strategic activities still need a UAE partner or service agent. Free zone companies have always allowed 100% foreign ownership.
Where you can trade
A mainland company can trade anywhere in the UAE and internationally. A free zone company trades within its free zone and internationally; to sell goods directly into the UAE mainland market it usually needs a local distributor, or a separate mainland presence, depending on the zone and activity.
Office and visas
Mainland companies need a physical office with a registered tenancy contract (Ejari). Many free zones offer flexi-desk or shared-office packages that keep costs low. In both cases, the number of residence visas you can get is linked to your office space and licence package.
Cost
Free zone packages are usually the cheapest way to start — Biznexa free zone packages start from AED 4,888 all-in. Mainland costs depend more on your activity and office, so they're best quoted after a short call.
Tax
Corporate tax applies to both. Companies pay 9% on taxable profit above AED 375,000. A free zone company that meets the conditions of a "qualifying free zone person" may pay 0% on its qualifying income — this needs proper planning and records.
